These Terms & Conditions ("Terms") govern your access to and use of the B2BZONE website at b2bzone.store and any software, services, digital goods or tools we offer ("Services"). By creating an account, placing an order, or using the Services you agree to these Terms.
1. Who we are
B2BZONE is a software vendor offering a portfolio of focused B2B products. Contact: info@b2bzone.store. For payment and tax purposes, our Merchant of Record (MoR) for subscription Services is Paddle.com Market Ltd ("Paddle") and our digital-goods platform is Gumroad, Inc. ("Gumroad").
2. Merchant of Record (Paddle)
For SaaS subscriptions, Paddle is the merchant of record, meaning Paddle is the seller of our Services to you, invoices you, collects applicable VAT/sales tax, and handles chargebacks. Paddle's terms apply to the payment transaction and are available at paddle.com. Your contractual relationship for the Services is with us.
3. Gumroad digital goods
One-time purchases (templates, desktop apps, bundles) are fulfilled by Gumroad under Gumroad's buyer terms. Gumroad handles delivery and license keys; our support channel for product content is info@b2bzone.store.
4. Accounts and eligibility
You must be at least 18 and legally able to enter binding contracts. You are responsible for maintaining the confidentiality of your credentials. You must provide accurate information and keep it up-to-date.
5. Acceptable use
You agree not to:
- Use the Services to violate any law or third-party rights;
- Reverse-engineer, resell or sublicense the Services without written permission;
- Attempt to disrupt, scan or overload our infrastructure;
- Upload unlawful, infringing or malicious content;
- Share paid license keys beyond the scope of the license.
6. Subscriptions and renewals
Subscription Services renew automatically at the end of each billing period until you cancel. You can cancel at any time from the Paddle receipt email or by writing to info@b2bzone.store. You keep access through the end of the paid period.
7. Pricing and taxes
Prices on the website are in USD and are the same prices presented at checkout (required by Paddle). Paddle may add local VAT or sales tax at checkout where applicable. For Gumroad purchases, Gumroad handles any applicable taxes under its own policies.
7a. Price changes
We may change prices for new subscriptions at any time. For existing subscriptions, price increases take effect at the next renewal only after at least 30 days' notice sent to your billing email. If you do not wish to accept the new price, you can cancel before the next renewal and keep the current price for the remainder of the paid period.
8. Refunds
See our Refund Policy for the full terms. Briefly: 14-day refund window for SaaS, case-by-case for one-click tools and digital goods, requests to info@b2bzone.store.
9. Intellectual property
We retain all rights, title and interest in the Services, including all trademarks, code, design and content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services during your active subscription or per the license terms of any one-time purchase.
10. Your data
We process your personal data under our Privacy Policy. You retain all rights to data you upload through the Services. We will not access or share your data except to operate the Services or as required by law.
11. Warranty disclaimer
The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, our aggregate liability under or in connection with these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages.
13. Termination
You may cancel at any time. We may suspend or terminate your access if you breach these Terms, engage in fraud or abuse, or if required by law. Upon termination, rights granted to you cease; sections that by nature survive (IP, liability, dispute resolution) remain in effect.
14. Changes to these Terms
We may update these Terms. Material changes will be announced at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of Argentina, excluding its conflict-of-law provisions. Disputes will be resolved in the competent courts of the City of Buenos Aires, or by the dispute-resolution mechanism required by the consumer's local law where such law applies.
Consumers located in the European Union, EEA or UK keep all mandatory rights under their local consumer law, including the right to bring proceedings in the courts of their own country and to access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
15a. Arbitration and class-action waiver (US customers only)
If you are a resident of the United States, you and we agree to resolve any dispute relating to these Terms by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court — except that either party may bring a claim in small-claims court within its jurisdiction. The arbitration will be conducted in English, in the US state where you reside, and governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.).
Class-action waiver: claims must be brought on an individual basis only. Neither you nor we may participate in a class, collective, consolidated or representative proceeding, and the arbitrator may not consolidate more than one person's claims. If this class-action waiver is found unenforceable, then the entirety of this arbitration section is null and void, and disputes will proceed in court under § 15.
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing info@b2bzone.store with the subject line “Arbitration opt-out”.
16. DMCA and copyright complaints (US)
We respect intellectual property. To report content hosted on our Services that infringes your copyright under the US DMCA (17 U.S.C. § 512), send a written notice to info@b2bzone.store with subject “DMCA takedown” and include: (a) identification of the copyrighted work; (b) the URL of the infringing material; (c) your contact information; (d) a good-faith statement that the use is not authorized; (e) a statement under penalty of perjury that the information is accurate and you are authorized to act; (f) your physical or electronic signature. We respond within 10 business days and will forward counter-notices under § 512(g).
17. Force majeure
Neither party is liable for any failure or delay in performance caused by events outside of its reasonable control, including acts of God, war, terrorism, riots, pandemics, government restrictions, power or internet outages, or failures of upstream providers (including Paddle, Gumroad, Cloudflare, AWS or similar). The affected party will use reasonable efforts to resume performance as soon as practicable.
18. Severability
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent needed to make it enforceable, and the remainder of these Terms will continue in full force and effect.
19. Entire agreement and assignment
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Services. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition or sale of assets. You may not assign without our written consent.
